If you are submitting Content on behalf of a band, you represent and warrant to Sponsor that you have the authority to act on independent artist behalf of the band. Content must not contain offensive or lewd independent artist content. Music Tracks submitted, if applicable, must not be longer than 5 minutes. All tangible Content submitted will become Sponsor's property and will independent artist not be returned. By entering the Contest, for good and valuable consideration, the receipt and legal sufficiency of which is hereby acknowledged, you hereby irrevocably grant, transfer, sell and assign to Sponsor, its successors, assigns and licensees, a perpetual, fully-paid, non-exclusive right and license to perform, reproduce, prepare derivate works of, distribute, display, exhibit, transmit, broadcast, televise, digitize, exploit and otherwise use, and grant others the right to so use and perform, the Music Track (including the sound recording, words and musical composition contained therein) and other Content in synchronization or time-relation to the Picture or otherwise, and to make phonorecords or copies thereof for distribution, performance, exhibition, promotion, publicity and exploitation throughout the universe in any and all media, now known or hereafter devised, in any manner, form, or format now known or hereinafter created, including without limitation on the Internet, and for any purpose, including, but not limited to, any use in or in connection with the Picture, and
